What is a registered agent, and do you need one?
A registered agent is the person or company an LLC names to receive official legal and government mail in its state of formation. Every state requires LLCs to maintain one.
What an agent does
- Receives "service of process" (court papers) and official state notices for the LLC.
- Has a physical street address in the state, usually open during business hours. A P.O. box generally isn't accepted.
- Forwards what they receive to you.
Do foreign owners need one?
Yes, if you form in a state you don't live in, which is true for founders abroad. Your agent must have an address in the state of formation. If you register in a second state, that state may require its own agent.
Can you be your own agent?
Some states allow it if you have a physical address there during business hours. Most founders abroad can't meet that, so they use a commercial agent.
What does it cost?
Prices vary by provider. Ours is $89 per year and optional; you can add it when you start your LLC.
If your agent changes
You usually file a change-of-agent form with the state, and states may charge a fee. Missing official mail can lead to default judgments or loss of good standing, so keep your agent information current.
