Wyoming vs. Delaware vs. New Mexico: which LLC state fits you?

Annual reports and ongoing obligations
- Wyoming: an annual report is due the first day of your formation anniversary month, with a $60 minimum license tax. The amount can be higher based on Wyoming assets.
- Delaware: LLCs file no annual report but pay a flat annual tax due June 1. HB 400 (signed May 21, 2026) raised it from $300 to $400. Confirm the first due date at corp.delaware.gov.
- New Mexico: no annual report fee is listed in our data. Confirm with the state, and check New Mexico business tax registration if you operate there.

Registered agent pricing
Every LLC needs a registered agent with a physical address in its state. Ours is $89 per year and optional. You can add it when you start your LLC, and it renews at the same rate.
Other states and your home state
If you live or operate in a different U.S. state, that state may also require you to register your LLC and pay its fees. In that case a low-cost formation state doesn't remove those costs; it can add a second registered agent and a second set of annual filings.

How to choose
- Where you work: match your registration to where the business really operates.
- Investors: many U.S. investors know Delaware best. For venture funding, ask an adviser whether an LLC is the right entity at all.
- Ongoing cost: Delaware's yearly tax is several times Wyoming's minimum.
- Privacy: don't choose on privacy claims alone. Check what each state publishes, and remember banks and the IRS still require owner information.
