Forming an LLC in Wyoming
Wyoming combines a $100 filing fee with one of the lowest yearly costs of the three states we file in, which is why many online businesses owned from abroad consider it.

Yearly obligations
$60 minimum annual report, due the first day of your formation anniversary month.
Good fit if
- You run an online business and don't operate from a specific U.S. state.
- Low ongoing state cost matters more to you than investor familiarity.
- You can keep up with a yearly annual report.
Probably not the right fit if
- You expect to raise money from U.S. investors who prefer Delaware.
- You have staff, customers or property in another U.S. state that would require its own registration.
Things to watch
- The annual report is due on the first day of your formation anniversary month, and the fee can be higher than $60 depending on assets in Wyoming. Missing it can lead to administrative dissolution.
- Paying online may add a card or processing fee.
- A registered agent with a Wyoming address is required.
